Intended professional relationship
The parties intend a direct independent-contractor relationship between the teammate and Nils Smith Solutions LLC, subject to applicable law and the parties’ actual working practices. Nothing is intended to create employment by a client, agency, partnership, or joint venture. Teammates are responsible for taxes, government contributions, permits, and other obligations that law validly assigns to them.
Teammates provide their own secure computer, internet, workspace, and equipment and ordinarily control how, when, and where they perform work, while honoring agreed outcomes, availability windows, meetings, deadlines, authority, security, and service levels. They may serve other businesses within capacity if no conflict, confidentiality risk, or interference results. NextTeammate will seek qualified Philippine and U.S. legal review before treating this description as conclusive for any person or operating model.

Readiness and professional duties
- Complete identity verification, security, confidentiality, AI-use, and professional-standards training before matching.
- Accurately maintain work, progress, and capacity records; disclose conflicts; personally perform work; never share an account or subcontract without written authorization.
- Use professional judgment, communicate blockers, verify AI work, follow approved instructions and SOPs, and use sourced materials lawfully.

Professional judgment and protected escalation
Teammates commit to the Teammate Standards and may decline and promptly escalate an instruction they reasonably believe is unlawful, unsafe, deceptive, discriminatory, outside documented authority, or inconsistent with security or client-protection rules. Good-faith reporting, participation in a review, or a respectful request for clarification must not be treated as insubordination or grounds for retaliation.
Performance concerns are evaluated against agreed deliverables, service levels, communication commitments, and authority boundaries—not continuous supervision or morality-based judgments. An allegation is not a finding, and business loss alone does not establish a violation.

Confidentiality and client security
Client information remains confidential indefinitely and may enter only NextTeammate’s built-in AI, not outside AI tools. MFA, an approved password manager, least privilege, secure sharing, and 24-hour incident reporting are mandatory.
At assignment end, the teammate must stop access immediately and return or permanently delete client information and retained copies except where law requires retention.

Compensation
Compensation follows the effective Payout Policy and approved engagement records. Payments are made in Philippine pesos through Wise on the first of the following month, or next business day, for eligible prior-month service. NextTeammate absorbs Wise transfer and conversion fees. No invoice or tax form is presently required.
Estimates are non-binding until approval. Statements issue on approval; disputes must be raised within 14 days. Legitimately earned, undisputed compensation remains payable, while amounts tied to documented fraud, falsification, misconduct, or violations may be held. Final payout cannot fall below zero.

Client relationships and ownership
Teammates may not accept direct employment, contracting, or payment from a NextTeammate client during an assignment or for 12 months afterward without written conversion approval and the client’s payment of the applicable fee.
After client payment, the client owns work created specifically for it. Teammates retain pre-existing materials and grant a perpetual license to incorporated materials. Teammates warrant independently sourced materials are lawful.

Resignation, safeguards, and termination
Teammates provide 30 days’ written resignation notice when practical and cooperate with transition, replacement, access revocation, and offboarding. NextTeammate may terminate without cause on 30 days’ notice and pays through the approved last payable date.
Responses to concerns follow the incorporated Resolution Process and may include coaching, an improvement agreement, training, narrowed authority, workflow pause, reassignment, platform restriction, or termination. Credible serious concerns may require immediate temporary access restrictions while evidence is reviewed; a temporary safeguard is not itself a finding. Undisputed, legitimately earned compensation remains payable. Any hold requires a documented basis, written explanation, and dispute path.

Disputes
Payout disputes first use the 14-day review process. Other disputes and unresolved payout disputes proceed through 30-day internal mediation and then binding individual AAA arbitration under the Terms. The class waiver, liability provisions, acceptable-use rules, and New York governing law are incorporated.
